1. Scope

This Vendor Agreement governs your use of Ever as a vendor: creating and maintaining a listing, receiving and responding to leads, sending quotes, and appearing in the vendor directory. It supplements the Terms of Service and the Acceptable Use Policy; accepting it is required before a listing goes live. 2. Listings and truthful information

You confirm the business information in your listing (name, category, pricing band, contact details, response time) is accurate and yours to publish, and you agree to keep it current. Misrepresenting pricing, availability, or identity is grounds for suspension.

3. Ranking — glass-box, never pay-to-play

Directory ranking is computed from transparent performance signals (reviews, completed bookings, responsiveness, verification, price fairness) and is shown to you exactly as couples see it. Placement cannot be bought, and attempting to manipulate ranking signals (fake reviews, fake bookings) is a violation of this agreement.

4. Leads and quotes

Leads shown to you carry provenance and reflect real couple interest — Ever does not sell shared or recycled leads. Couple contact details are provided for responding to that couple's inquiry only, not for unrelated marketing. [COUNSEL: confirm data-use limits for lead PII under applicable law.]

5. Success fee

Ever charges vendors a success fee only when a booking completes, computed deterministically from the recorded booking value and disclosed before it accrues. Couples are never charged for the marketplace. [COUNSEL: confirm the fee schedule, invoicing/settlement mechanics, and refund treatment when a booking is cancelled — the ledger exists (vendor_fees) but no fee is billed until this agreement is finalized.]

6. Reviews and disputes

Couples may review your services. Ever does not remove negative reviews for commercial reasons. [COUNSEL: confirm the review-dispute / defamation process and any right-of-reply mechanics.]

7. Term and termination

Either party may end this agreement at any time; ending it unpublishes your listings. Fees already accrued for completed bookings survive termination. [COUNSEL: confirm notice periods, survival clauses, and liability/indemnification appropriate for a marketplace.]
